A premier corporate practice based in Gurgaon is hiring Associates for its Corporate / M&A and Private Equity practice, with multiple openings.
Eligibility
- LL.B. / LL.M. from a recognised law school with active Bar Council registration
- 1–3 years of substantive, dedicated corporate law firm experience
- Experience handling M&A, PE/VC transactions, commercial contracting and corporate advisory
- Candidates with purely litigation or non-transactional backgrounds will not be considered
- Strong foundation in the Companies Act, FEMA/FDI Regulations, SEBI guidelines and contract law principles
- Proven skills in contract drafting, legal research, due diligence structuring and transaction management
- Based in Gurgaon or willing to immediately relocate to Gurgaon
Position details
- Conduct legal due diligence and identify critical red flags
- Draft structured due diligence reports across diverse industry sectors
- Draft, review and negotiate SPAs, SSAs, SHAs and BTAs
- Prepare closing binders, disclosure letters and conditions precedent/subsequent checklists
- Manage transaction execution and regulatory filings
- Draft, review and negotiate commercial contracts, including vendor agreements, service contracts, NDAs, master services agreements and licensing agreements
- Advise on corporate governance, Companies Act compliance, FDI guidelines and general regulatory matters
- Coordinate with senior associates, partners, counterparty counsel and clients
